Kounta is a web-based business management platform built to help small businesses track sales, inventory, expenses, staff activities, reports, receipts, offline records, and AI-powered business insights.
These Terms & Conditions govern your access to and use of Kounta, including the website at https://kounta.cc, the Kounta web application, subscription plans, support services, and related features.
By creating an account, using the platform, starting a free trial, or making payment for any Kounta plan, you agree to these Terms.
You may use Kounta if you are legally able to enter into a binding agreement and you are using the platform for lawful business purposes.
If you are using Kounta on behalf of a business, company, shop, team, or organisation, you confirm that you have authority to accept these Terms on behalf of that business.
Kounta is not intended for children or for personal activities unrelated to lawful business operations.
To use Kounta, you may be required to create an account and provide accurate information.
If you suspect unauthorised access, you should contact Kounta support immediately.
Kounta allows business owners and admins to invite staff, assign roles, and manage access levels.

Kounta is not responsible for losses caused by your staff misuse, shared login details, weak passwords, incorrect role assignment, or failure to remove staff access.
You agree to use Kounta only for lawful and legitimate business purposes.

Kounta operates on subscription plans. Available plans may include Starter, Business, Premium, and Enterprise, with monthly and yearly billing options.
Plan features, limits, pricing, and availability may change from time to time. Your access to features depends on your active plan.
Some features such as advanced reports, CSV exports, staff limits, AI voice input, Kounta AI chat, AI insights, AI consultation, and Enterprise custom support may only be available on selected plans.
Kounta may offer a 7-day free trial for new users or businesses.
Payments may be processed through Paystack or another approved payment provider.
By selecting a paid plan, you authorise payment for the selected plan and billing cycle.
Kounta does not intentionally store full card numbers, CVV, or complete payment card details.
Your subscription may renew automatically depending on the payment provider setup and plan selected.
You may upgrade, downgrade, or change your plan according to the options available inside Kounta.
Upgrades may unlock new features immediately after successful payment confirmation. Downgrades may reduce access to certain features, staff limits, reports, AI features, exports, or Enterprise-level support.
If your new plan does not support some existing usage, you may need to reduce staff, data usage, or feature access to continue using that plan.
If payment fails, expires, is reversed, or cannot be confirmed, Kounta may restrict your access to paid features.
We may still allow limited access for account review, billing updates, data export, or plan renewal, depending on product rules.
Kounta is not responsible for access interruption caused by failed payments, expired cards, bank issues, payment provider issues, or incorrect billing details.
Payments are generally non-refundable once service access has been granted.
However, refund requests may be reviewed in limited situations, such as:
Refund approval is not automatic and will be reviewed based on the facts of the request.
Kounta should also maintain a separate Refund Policy page to clearly explain refund eligibility, timelines, cancellations, chargebacks, and subscription rules.
You remain the owner of the business data you enter into Kounta, including sales, inventory, expenses, receipts, staff records, customers, reports, and exports.
You are responsible for the accuracy, completeness, and legality of the data entered into your account.
Kounta processes your data to provide the service, support your account, secure the platform, generate reports, and improve product performance.
Kounta may provide reporting or export tools depending on your plan.
You are encouraged to regularly export or backup important business records where available.
While Kounta takes reasonable steps to protect data, we do not guarantee that data will never be lost, corrupted, delayed, or unavailable due to technical failures, third-party outages, user error, device issues, or events outside our control.
Kounta may support offline saving for certain actions such as sales or expense records.
Offline records may be stored temporarily on your device and synced when internet connection returns.
You are responsible for keeping your device secure and avoiding actions that may delete unsynced data, such as clearing browser storage, changing device, uninstalling the app, or using private browsing.
Kounta is not responsible for data loss caused by unsynced offline records, device damage, browser storage clearing, or user device issues.
Kounta may provide AI-powered features such as AI voice input, AI chat, AI insights, and AI consultation features.
AI outputs are for business support, convenience, and informational purposes only. They are not professional accounting, tax, legal, financial, or business advisory advice.
You are responsible for reviewing AI outputs before relying on them. Important financial, tax, legal, or operational decisions should be reviewed with a qualified professional.
Kounta may generate receipts, reports, summaries, insights, calculations, and exports based on data entered by you or your staff.
The accuracy of reports depends on the accuracy of your records. Kounta is not responsible for wrong reports caused by incorrect entries, missing expenses, wrong stock records, staff mistakes, or incomplete data.
You should review important reports before using them for tax, accounting, loan applications, audits, or financial decisions.
We aim to keep Kounta reliable and available, but we do not guarantee uninterrupted, error-free, or always-available service.
The platform may be unavailable due to maintenance, upgrades, internet issues, third-party outages, hosting issues, database issues, security incidents, or events outside our control.
We may update, modify, pause, limit, or discontinue parts of the platform where necessary.
Kounta may rely on third-party services for hosting, database, authentication, email delivery, payment processing, analytics, monitoring, AI, and other functions.
Examples may include Supabase, Vercel, Resend, Paystack, Google services, and similar providers.
Kounta is not responsible for failures, outages, delays, disputes, or losses caused by third-party providers, but we will take reasonable steps to manage service reliability where possible.
Kounta applies reasonable technical and organisational safeguards to protect the platform.

We are not responsible for losses caused by your failure to protect your account, device, password, or staff access.
Kounta, including its design, brand, logo, software, user interface, content, workflows, code, and product features, is owned by Kounta or its licensors.
You may not copy, reproduce, resell, clone, modify, distribute, reverse engineer, or create competing products based on Kounta without written permission.
Your business data remains yours, but the Kounta platform and product system remain the property of Kounta.
If you send feedback, feature requests, ideas, or suggestions to Kounta, you allow us to use them to improve the platform without owing compensation or ownership rights to you.
We appreciate user feedback, but we are not required to implement every request.
We may suspend, restrict, or terminate your account if:

To the fullest extent permitted by law, Kounta will not be liable for indirect, incidental, special, consequential, or business losses, including lost profits, lost revenue, lost customers, stock losses, staff misuse, tax penalties, incorrect decisions, or data inaccuracies.
Kounta provides tools to help you manage business records, but you remain responsible for business decisions, financial management, compliance, tax filings, and operational outcomes.

We may update these Terms from time to time to reflect product changes, legal updates, operational updates, payment changes, or security improvements.
The updated version will be posted on this page with a new “Last Updated” date. Continued use of Kounta after changes means you accept the updated Terms.
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute arising from your use of Kounta should first be addressed by contacting Kounta Support. If it cannot be resolved informally, it may be handled according to applicable Nigerian law and dispute resolution procedures.
